vuetek.co.uk does not sell products on a trial basis. Customers are strongly advised to check suitability and specifications of products before ordering.

Standard Terms & Conditions of Sale

  1. These terms and conditions form part of every contract for the sale of equipment, accessories, consumables or services by Vuetek Systems Ltd to the purchaser of our products (“Customer”).
  2. An offer to supply products does not constitute a binding contract until we have confirmed the order in writing.
  3. Customers own terms and conditions are not recognised by us except when we have expressly agreed to them in writing.
  4. The price payable for products is due immediately upon invoice and without deduction.
  5. In the case of the customer being in default of payment we are entitled to charge interest on demand at the rate of 5% over the official dealing rate as published by the Bank of England.
  6. We may by written notice terminate the contact immediately without prejudice to any accrued rights if customer commits a material breach of any of the terms of the contract and fails to remedy the same within 14 business days of notice. Failure to pay shall be regarded as a material breach.
  7. We may by written notice terminate the contact immediately without prejudice to any accrued rights if any step, application, order or proceeding is taken with respect of financial distress, arrangement with creditors, winding up, dissolution, administration, receivership or bankruptcy or if the customer is unable to pay its debts.
  8. Customer shall inspect products immediately upon delivery and notify Vuetek Systems Ltd in writing of any damage, defect or deficiency.
  9. We will not accept the return of products defective or otherwise without a return authorisation issued by Vuetek Systems Ltd.
  10. Where a Customer claims that a transaction is not subject to a value added or sales tax they must provide us with all documentation necessary to support such a claim and the customer maintains full liability for, and holds us harmless against and expenses incurred or action raised as a result of our reliance upon customers statements and documents.
  11. Customer hereby undertakes to maintain its premises in a safe condition and to comply with all applicable laws governing health and safety. Customer hereby accepts full responsibility for harm or injury to, or liability arising from work performed by our personnel whilst on the customer premises, except to the extent caused solely by the gross negligence or wilful misconduct of our personnel.
  12. Customer shall provide us with written acceptance of the installation services. Acceptance shall be deemed to have been given if the customer has not provided such written acceptance within two weeks of completion and within that time has not reported any defects.
  13. We warrant to the customer that the products sold are, on completion of installation or delivery, free from defects in materials or workmanship. Unless otherwise stated this warranty shall we valid for a period of twelve months from the date of delivery.
  14. If the warranty of these terms and conditions is breached, we agree either to repair or replace, at our sole option, any part of such products which under proper and normal conditions prove to be defective. Alternatively we may at our sole discretion elect to discharge our warranty obligation by accepting the return of any defective product.
  15. We will use reasonable efforts to perform all warranty services at the customer premises but we reserve the right to require the return of products to our premises when necessary.
  16. Replaced parts will become our property.
  17. This warranty excludes any product which has been identified as having reduced warranty due to special promotion and are sold at reduced prices.
  18. This warranty does not cover loss, damage, defects resulting from improper or inadequate maintenance by the Customer, Customer supplied products, unauthorised modification, misuse, and operation outside of the environmental specifications for the products.
  19. No warranty is made with respect to refurbished or previously owned products sold “as is” unless otherwise stated.
  20. We warrant that software or firmware installed by Vuetek Systems Ltd shall conform to the programme manuals at the time of installation, however, we do not warrant that the operation of the software or firmware will be uninterrupted or error free.
  21. We shall not be liable to the Customer for any loss of profit, loss of opportunity, costs and fines or any indirect or consequential loss, whether based on contract, misrepresentation, tort (including negligence), strict liability or otherwise arising out of the design, sale, delivery, installation and use of the products.
  22. Our maximum aggregate liability to the Customer for any loss or damage in respect of any claims shall not exceed the total amount of the price paid by the Customer to us for the products.
  23. Nothing in these terms and conditions shall exclude or restrict either parties liability for death or personal injury arising from its negligence or shall exclude a parties rights under the law governing these terms in respect of any fraud.
  24. The limitation period for any claims or proceedings arising out of the contract is two years from the date on which the cause of action accrued.
  25. Vuetek Systems Ltd with bear costs and responsibility related to disposal when required under European WEEE regulations.
  26. The contract shall be governed in accordance with English law.
  27. We shall not be liable for any failure due to acts of God, failure to act of the Customer, acts of civil military authority, fires, strikes, floods, epidemics, war, delays in transportation or other causes beyond our reasonable control.
  28. Customer may not assign, transfer or delegate any of its rights or obligations without our prior written consent.
  29. Where individual provisions under these terms become invalid under English law the invalidity shall be limited to such provision.

Prices

Goods and services, together with vat, are invoiced at the price prevailing at time of order. vuetek.co.uk reserves the right to modify the prices from time to time.

Errors and omissions

vuetek.co.uk makes every effort to ensure that all prices and descriptions quoted in its showrooms and website are correct and accurate.

However, in the event that a mistake may occur due to the rapidly changing nature of the market vuetek.co.uk will be entitled to rescind the contract, not withstanding that it has already accepted the customer’s order, and vuetek.co.uk liability in that event will be limited to the return of any money the customer has paid in respect of that order.
